1. Acceptance of Terms

By downloading, installing, accessing, or using the GYMatrix Android Application, visiting the GYMatrix website, or logging into the GYMatrix administrative dashboard, you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy.

These Terms constitute a legally binding agreement between you (“User”, “you”) andGYMatrix Technologies (“Company”, “we”, “us”, or “our”), having its operations in Ernakulam, Kerala, India. If you do not agree with any part of these Terms, you must immediately discontinue using the platform and uninstall our mobile applications.

2. Description of Services & Multi-Role Scope

GYMatrix delivers a specialized Enterprise Resource Planning (ERP) and customer experience platform tailored for fitness centers, gyms, health clubs, and martial arts studios:

• Member Android App: Allows registered gym members to view active plans, monitor attendance, scan digital QR codes for turnstile entry, book personal training slots, and view GST invoices.
• Staff & Trainer App: Enables fitness trainers and front-desk personnel to mark attendance, track assigned client workouts, and view shift rosters.
• Administrative Web ERP: Provides gym owners with cloud tools for member lifecycle management, recurring billing, GST tax invoice generation, and IoT turnstile gate synchronization.
• Hardware Integration Gateway: Local firmware and cloud software coordinating with physical turnstiles, biometric scanners, and RFID card readers.

3. Account Registration & Security

To access features of the Android App or ERP, you must maintain an active account. You represent and warrant that:

• All registration information submitted by you is accurate, current, and complete.
• You will protect your login credentials (passwords, PINs, and One-Time Passwords). You are solely responsible for all activities occurring under your account.
• You will immediately notify GYMatrix and your gym administration of any suspected unauthorized use or security compromise.
• Accounts are non-transferable. You may not sell, lease, or lend your account to any other individual.

4. Gym Access, Turnstile Hardware & Anti-Tailgating

GYMatrix enables automated physical access control to gym facilities. By using the app or access credentials, you agree to the following rules:

• Strictly Personal Access: Your digital QR code, RFID card, or biometric profile grants admission solely to you. Lending your digital pass, QR screen, or RFID tag to another person is strictly prohibited.
• Anti-Passback & Anti-Tailgating: Bypassing turnstile gates, piggybacking behind another member, or forcing mechanical turnstile arms without scanning triggers an automated security alert and may lead to immediate revocation of your gym privileges without refund.
• Hardware Integrity: Any intentional physical tampering, disconnection, or vandalism of GYMatrix turnstile controllers, biometric readers, or sensors will result in legal prosecution under applicable civil and criminal statutes.

5. Health, Physical Activity & Injury Liability Waiver

Physical training, weightlifting, high-intensity interval training, sauna usage, and general fitness activities carry inherent risks of physical injury, cardiac strain, and exhaustion.

• Consultation with Physician: You must consult a licensed physician or medical professional before commencing any strenuous workout regimen or dietary routine suggested in or recorded through the app.
• Voluntary Participation: You acknowledge that participation in physical exercise at any fitness center utilizing GYMatrix is entirely voluntary and undertaken at your own risk.
• Release of Software Liability: Under no circumstances will GYMatrix Technologies, its founders, directors, or software engineers be held liable for any bodily injury, illness, muscle tear, sprain, or fatality occurring on the premises of any partner gym or during any workout session.

6. Subscriptions, Invoicing, Taxes & Refunds

A. Gym Members

Membership packages, personal training packages, and renewal dues are set and billed by the individual gym facility. Any request for membership pause, transfer, cancellation, or fee refund is subject solely to the terms agreed upon between you and your respective gym center. GYMatrix is not a party to the direct membership agreement between you and the gym facility.

B. Gym Owners & Enterprise Clients

Subscription plans for the GYMatrix ERP, cloud database, SMS credits, and hardware sync are billed in advance on a monthly or annual basis. All payments are processed with standard Goods and Services Tax (GST) invoices compliant with Indian tax statutes.

7. Biometric & Attendance Compliance (DPDP Act 2023)

Gym owners deploying biometric turnstiles (fingerprint readers or facial access cameras) through the GYMatrix platform act as Data Fiduciaries under the Indian Digital Personal Data Protection Act, 2023.

• Gym owners must obtain clear, informed, and prior consent from members before recording biometric credentials.
• Gym owners must always offer a non-biometric alternative entry method (e.g. mobile app QR code or RFID badge) to any member who opts out of biometric scanning.
• GYMatrix stores only encrypted biometric templates and coordinates access events, maintaining rigorous data isolation.

8. Acceptable Use & Prohibited Conduct

You agree not to engage in any of the following prohibited behaviors:

• Decompiling, disassembling, reverse-engineering, or attempting to discover the source code of the GYMatrix Android application or cloud services.
• Using automated bots, crawlers, or scrapers to extract data, member directories, or pricing from our systems.
• Attempting to bypass security, API rate limits, or role permissions to access other gym branches or member records.
• Uploading malicious code, trojans, viruses, or defamatory material.
• Misrepresenting your identity or creating accounts under fictitious names.

9. Intellectual Property Rights

All rights, title, and interest in and to the GYMatrix platform, including but not limited to the Android application, graphical user interfaces, proprietary biometric synchronization algorithms, source code, logos, icons, and documentation, are and will remain the exclusive intellectual property of GYMatrix Technologies.

You are granted a limited, revocable, non-exclusive, non-transferable license to install and use the GYMatrix Android Application on your personal Android device solely for accessing your gym membership services.

10. Suspension & Termination

We reserve the right to suspend or terminate your access to the mobile application or web ERP immediately, without prior notice or liability, if:

• You breach any provision of these Terms or the acceptable use policy.
• Your gym facility requests suspension of your account due to expired dues or gym rule infractions.
• We suspect fraudulent, abusive, or unauthorized turnstile activity linked to your account.

11. Disclaimer of Warranties & Limitation of Liability

The services are provided on an “AS IS” and “AS AVAILABLE” basis. GYMatrix disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, in no event shall GYMatrix Technologies, its affiliates, or officers be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or hardware downtime resulting from:

• Your access to or inability to access or use the application or turnstile gates.
• Temporary outages caused by third-party telecom, electrical, or cloud infrastructure failures.
• Any unauthorized access to our secure servers by sophisticated cyberattacks.

In any case, GYMatrix's total aggregate liability arising out of or related to these Terms shall be limited to the amount actually paid by you to GYMatrix in the three (3) months preceding the incident, or INR 1,000, whichever is less.

12. Governing Law & Dispute Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Android Application, or GYMatrix services shall be subject to the exclusive jurisdiction of the competent civil courts situated in Ernakulam, Kerala, India.
